Purpose of the Position

Company's Legal & Compliance is in charge of making sure a company keeps up to date with changing regulatory norms. The purview includes applying for licenses and permits, establishing internal monitoring systems, and knowing the major relative corporate laws in each group company so as to minimize the risk of penalties. Making sure a company is doing business in accordance with all the national and international laws and regulations pertaining to the industry, as well as professional standards, accepted business practices, and internal standards.

Key Duties and Responsibilities

1. Legal

• Review legal documents including investment agreements, HR agreements, vendor agreements, NDA etc in coordination with external counsels
• Define and execute the necessary legal and compliance framework needed for the IPO
• Deal with legal disputes or high-risk cases
• Project Lead for Shareholders meeting

2. Compliance

• Ensure that Company group companies (Partners) follow all the local laws and regulations for their license (microfinance, banks etc.)
• Ensure that Company holdco and group companies comply with the relevant Data

Protection Laws

• Ensure that Company holdco and group companies follow the decision- making protocol (e.g. Reserved Matters in Shareholders Agreement, Table of Authorities)

3. Corporate Secretary

• Ensure that Company follows the processes of the resolutions (shareholders, board or management decision matters) according to the Japanese Companies Act
• Manage the preparation and follow-up of monthly board meetings and board-level committees

Requirements

• Japanese Bar Exam
• A minimum of 3 years of working experience in the relevant field
• Knowledge of the Japanese Companies Act
• A commitment to overcome obstacles in order to deliver high-quality results under time constraints.
• Strong work ethic both independently and as a part of a team.
• Understand and agree with Company's vision, mission, goals, and values
• Share and exemplify Company's Guiding Principles and high level of ethical behavior and trustworthiness
• Be passionate, aspirational, and highly motivated to commit to the goal achievement even in difficult situations
• Strong interpersonal and communication skills
• Fluency in English and Japanese
